SECTION 3: PRODUCTS OR SERVICES

Some products or services may be available exclusively to wholesale partners and may have limited quantities.
Product descriptions and pricing are subject to change without notice.
Minimum order quantities apply as follows:
- Whole Bean Coffee, Coffee Capsules, Cascara, Tea, and Powders: Minimum 100 USD Order Value
- Equipment, Accessories, Drip Bags, Cold Brew Bags: Minimum 135 USD Order Value

SECTION 4: ORDER VOLUME LIMITATIONS

Large orders may be subject to limitations based on stock availability and capacity. Contact us directly for inquiries at our contact form.

SECTION 5: ACCURACY OF BILLING AND ACCOUNT INFORMATION

We reserve the right to refuse any order and may limit or cancel quantities at our discretion.
You agree to provide an accurate and up-to-date account and purchase information.

SECTION 6: MODIFICATIONS TO THE SERVICE

We reserve the right to modify or discontinue the Wholesale Service (or any part thereof) without notice.
To the best of our ability, we will communicate with wholesale customers in the event of any changes to the service via your registered email address.
We are not liable for any losses that result from modifications, price changes, suspensions, or discontinuations of the service.
It is the wholesale customer's responsibility to keep updated on the latest version of the Terms of Service.

SECTION 7: LIABILITY AND DAMAGES

1. Our total aggregate liability under or in connection with these Terms, whether in contract, tort (including negligence), or otherwise, shall be limited to the total amount paid by you for the products in the 12 months preceding the incident giving rise to the claim.

2. We shall not be liable for any:

Indirect or consequential losses
Loss of actual or anticipated profit
Loss of business opportunity
Loss of goodwill or reputation
Loss of anticipated savings
Loss or corruption of data
Damages resulting from force majeure events (including but not limited to natural disasters, pandemics, wars, civil unrest, or other circumstances beyond our reasonable control)

3. Nothing in these Terms shall limit or exclude our liability for:

Death or personal injury caused by our gross negligence
Fraud or fraudulent misrepresentation
Any other liability that cannot be excluded by applicable law

4. Any claim for damages against us must be asserted within six months from the date of the incident giving rise to the claim.

5. You acknowledge that these limitations of liability are reasonable given the wholesale nature of our business relationship and have been taken into account in the pricing of our products.

SECTION 8: INDEMNIFICATION

You agree to indemnify us for any damages or costs arising from your breach of these terms or violation of any law or third-party rights.

SECTION 9: ASSIGNMENT

You may not assign, transfer, or delegate your rights or obligations under these Terms of Service without our prior written consent.
We reserve the right to assign or transfer our rights and obligations under these terms to any third party at our discretion, with notice to you.
Any unauthorized assignment by you will be considered null and void.

SECTION 10: SEVERABILITY

If any provision of these terms is found to be unlawful or unenforceable under Japanese law, it will be severed from these terms without affecting the validity of the remaining provisions.

SECTION 11: TERMINATION

These terms remain effective unless terminated by you or us. You may terminate by notifying us in writing.
We may terminate the agreement without notice if you breach any terms.
Upon termination:
- All outstanding payments become immediately due
- You must cease using our services and products
- Confidentiality obligations survive termination

SECTION 12: CHANGES TO TERMS OF SERVICE

We reserve the right to update or change these terms at our discretion.
Changes will be posted on our website, and you will be notified by email.
Continued use of the site indicates acceptance of the updated terms.
You must notify us immediately if you do not agree with any amendment or revision.

SECTION 13: RETENTION OF TITLE

All products supplied remain our property until full payment has been received.
Risk of damage or loss passes to you upon delivery.
You must not pledge, resell, or transfer ownership of unpaid goods.

SECTION 14: CUSTOMS COSTS AND IMPORT DUTIES

International buyers are responsible for import duties, taxes, and other related charges.
Returns due to unpaid customs fees will not be accepted.
Compliance with local regulations is the buyer's responsibility.

SECTION 15: WHOLESALE SHIPPING AND RETURNS

Shipping costs depend on order size and destination.
Orders typically process within 1-2 weeks.
Returns accepted within 30 days for non-perishable items in original condition.
Damaged goods may qualify for replacement with photo evidence.

SECTION 16: RESALE RESTRICTIONS

Sales permitted only through approved channels.
Unauthorized resale on third-party platforms is prohibited.
Partners must ensure products are sold before expiration.

SECTION 17: INTELLECTUAL PROPERTY

All intellectual property rights remain with Kurasu.
Prior approval required for use of branding materials.
Unauthorized use is strictly prohibited.

SECTION 18: ANTI-SOCIAL FORCES

The buyer represents and warrants that it and its officers do not and will not belong to anti-social forces (including but not limited to organized crime groups, their members, or affiliated entities).
We may terminate this agreement immediately without notice if we discover that the buyer has breached the above representation.
We shall not be liable for any damages resulting from such termination.

SECTION 19: CONFIDENTIALITY

The buyer shall keep confidential all technical, commercial, and other information obtained through this agreement.
The confidentiality obligations shall survive for three years after the termination of this agreement.
Prior written consent is required for any disclosure of confidential information.

SECTION 20: GOVERNING LAW AND JURISDICTION

These Terms of Service shall be governed by and construed in accordance with the laws of Japan.
Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the Kyoto District Court as the court of first instance.

SECTION 21: LANGUAGE AND CURRENCY

These Terms of Service are written in English. In case of any discrepancy between the English version and any translation, the English version shall prevail.
All transactions shall be conducted in Japanese Yen (JPY).
Currency exchange risks shall be borne by the buyer.
